Terms of Service
Effective October 30, 2026
Welcome to SYNC.
SYNC (“SYNC,” “we,” “us,” or “our”) is a web-based project management platform designed to help individuals, teams, and businesses organize projects, manage tasks, collaborate, and streamline their workflows.
SYNC was created by Christopher Gray.
These Terms of Service (“Terms”) explain the rules and conditions for accessing and using SYNC.
By creating an account, accessing, or using SYNC, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the platform.
The short version: Use SYNC responsibly, respect other users, and keep your account secure. Your projects and content belong to you. We provide the tools to manage your work, but we cannot guarantee uninterrupted service or protect against every possible technical issue.
1. Using SYNC
SYNC provides tools for project management, task organization, team collaboration, workflow tracking, and related business activities.
You may use SYNC for lawful personal, professional, and commercial purposes in accordance with these Terms.
To use certain features, you may need to create an account.
By using SYNC, you agree to:
- Provide accurate account information
- Maintain the security of your login credentials
- Use the platform only for lawful purposes
- Respect the privacy and rights of other users
- Follow applicable laws and regulations
- Avoid interfering with the security or operation of the platform
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account unless we expressly authorize otherwise.
If you use SYNC on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.
2. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.
SYNC may provide authentication through third-party providers or supported email-based login methods.
You agree to notify us if you believe your account has been accessed without authorization.
We may temporarily restrict access to accounts when reasonably necessary to investigate security concerns, prevent misuse, or protect the platform and its users.
SYNC is not responsible for losses resulting from unauthorized account access caused by your failure to reasonably protect your credentials, except where applicable law provides otherwise.
3. Your Content and Data Ownership
Your work belongs to you.
You retain ownership of the projects, tasks, files, comments, messages, and other content you create, upload, or manage through SYNC (“User Content”).
Using SYNC does not transfer ownership of your content to us.
You grant SYNC a limited, nonexclusive license to host, store, process, reproduce, display, and transmit your content solely as necessary to operate, maintain, secure, and provide the services you use.
This license ends when your content is deleted from our active systems, subject to reasonable backup retention and applicable legal obligations.
You are responsible for ensuring that you have the necessary rights and permissions to upload, share, or manage any content within SYNC.
We do not claim ownership of your original creative work, client materials, or business information.
We do not sell your private project content or use it to train generalized artificial intelligence or machine learning models.
4. Workspaces and Collaboration
SYNC allows users to collaborate within shared workspaces and projects.
When you invite other users or grant access to a workspace, those users may be able to view, edit, comment on, download, or manage information according to their assigned permissions.
Workspace owners and administrators are responsible for managing access, inviting appropriate collaborators, and maintaining their organization's internal policies.
You understand that:
- Content shared within a workspace may be accessible to authorized members
- Other members may make changes according to their permissions
- Removing a user may not remove copies of information they previously downloaded or otherwise lawfully obtained
- Workspace administrators may control access to organizational content
SYNC is not responsible for disputes between workspace members, clients, contractors, or organizations regarding ownership, permissions, or management of shared content.
5. Third-Party Integrations
SYNC may offer integrations with third-party platforms, including Google Drive, Slack, ClickUp, Frame.io, and other services.
These integrations may allow users to connect accounts, access files, synchronize information, or manage related workflows.
By connecting a third-party service, you authorize SYNC to access and process the information necessary to provide the features you enable, subject to the permissions you grant.
You acknowledge that:
- Third-party services operate under their own terms and privacy policies
- Some integrations may require separate accounts or subscriptions
- Integration functionality may change due to third-party updates or restrictions
- SYNC does not control the availability or performance of external services
We are not responsible for outages, data changes, or service interruptions caused by third-party providers, except to the extent required by applicable law.
You may disconnect supported integrations through the available account settings or the third-party provider's authorization controls.
6. Acceptable Use
SYNC is intended to help people work more efficiently.
You agree not to misuse the platform or interfere with other users.
Prohibited activities include:
- Uploading or distributing unlawful, malicious, or harmful content
- Attempting to access accounts or information without authorization
- Interfering with the security, availability, or performance of SYNC
- Introducing viruses, malware, or other harmful software
- Using automated systems to abuse or overload the platform
- Attempting to reverse engineer or exploit the platform except where permitted by law
- Using SYNC to violate intellectual property or privacy rights
- Reselling or redistributing access without our written permission
- Circumventing account restrictions, usage limits, or security measures
We may investigate suspected violations and take reasonable action, including restricting or terminating access.
7. Availability and Platform Changes
We work to make SYNC reliable, secure, and consistently available.
However, SYNC is provided as an evolving software platform.
We may introduce new features, modify existing functionality, perform maintenance, or discontinue certain features.
Some updates may occur without advance notice.
We do not guarantee that SYNC will operate without interruption, errors, delays, or temporary downtime.
When practical, we will attempt to communicate significant changes or planned disruptions that materially affect users.
We may also introduce beta or experimental features that are still under development. Such features may change or be discontinued.
8. Subscriptions and Payments
SYNC may offer free and paid subscription plans.
If paid plans are introduced or offered, applicable pricing, billing periods, included features, and usage limits will be presented before purchase.
By purchasing a paid subscription, you authorize the applicable payment provider to charge the payment method you select according to the terms presented at checkout.
Unless otherwise disclosed at purchase:
- Recurring subscriptions renew automatically until canceled
- You may cancel future renewals through the available billing controls or by contacting support
- Cancellation generally takes effect at the end of the current paid billing period
- Fees already paid are nonrefundable except where required by law or expressly stated otherwise
- Applicable taxes may be added to subscription charges
We may change subscription pricing with advance notice as required by applicable law.
If payment cannot be processed, we may suspend paid features or restrict access after reasonable notice.
We will not charge subscription fees unless you have agreed to the applicable purchase terms.
9. Data Storage and Backups
SYNC may store project information, account data, and other content using trusted cloud infrastructure providers.
We take reasonable measures to maintain the reliability and security of the platform.
However, no cloud service can guarantee that information will never be lost, corrupted, or temporarily unavailable.
You are encouraged to maintain independent copies of critical business files and information.
SYNC is not intended to serve as the sole backup location for irreplaceable business records.
Where third-party integrations are used, original files may remain stored with the connected provider.
10. Privacy
Your privacy matters.
Our collection, use, storage, and handling of personal information are described in our Privacy Policy.
By using SYNC, you acknowledge that we process information as described in that policy.
We do not sell personal information or use private project content for targeted advertising.
For questions about privacy or data handling, contact letsgetsyncd@gmail.com.
11. Intellectual Property
The SYNC platform, including its software, interface, branding, logos, design elements, and original platform functionality, is owned by SYNC's operator or its licensors and is protected by applicable intellectual property laws.
These Terms grant you a limited, nonexclusive, nontransferable, revocable right to access and use SYNC in accordance with the applicable service terms.
They do not grant you ownership of the platform, source code, trademarks, or underlying technology.
Your original User Content remains yours, as described in Section 3.
You may not copy, reproduce, distribute, or commercially exploit SYNC's proprietary software or branding without prior written permission, except where permitted by applicable law.
12. Account Suspension and Termination
You may stop using SYNC at any time.
You may request account deletion by contacting us at letsgetsyncd@gmail.com.
We may suspend or terminate access when reasonably necessary due to:
- Violations of these Terms
- Fraudulent or unlawful activity
- Security threats
- Repeated misuse of the platform
- Nonpayment of applicable subscription fees
- Legal or regulatory requirements
Where appropriate, we will attempt to provide notice and an opportunity to resolve the issue.
Account termination may result in loss of access to projects, workspaces, and associated information.
Data deletion and retention are handled according to our Privacy Policy and applicable law.
13. Disclaimers
SYNC is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, we disclaim warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted availability.
We do not guarantee that the platform will meet every business requirement, operate without errors, or remain compatible with every third-party service.
SYNC provides project management tools but does not guarantee business outcomes, project completion, team performance, or the accuracy of information entered by users.
Nothing in these Terms excludes warranties or protections that cannot legally be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, SYNC and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the platform.
This may include lost profits, lost business opportunities, business interruption, or loss of data.
To the maximum extent permitted by law, our total liability for claims arising from or relating to SYNC will not exceed the greater of:
- The amount you paid to SYNC during the 12 months immediately preceding the event giving rise to the claim
- $100 USD
These limitations do not apply to liabilities that cannot legally be limited or excluded, including where applicable law provides otherwise.
15. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SYNC and its operator from third-party claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the platform, infringement of third-party rights, or material violation of these Terms.
This provision does not require you to indemnify SYNC for its own unlawful conduct or other matters for which indemnification is prohibited by law.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles, except where mandatory laws provide otherwise.
If a dispute arises, we encourage you to contact us first so we can attempt to resolve the issue informally.
You may contact us at letsgetsyncd@gmail.com.
If informal resolution is unsuccessful, disputes may be brought before a court of competent jurisdiction, subject to applicable law.
Nothing in these Terms limits rights or remedies that cannot legally be waived.
17. Changes to These Terms
We may update these Terms as SYNC evolves, new features are introduced, or legal requirements change.
When changes are made, we will update the effective date at the top of this page.
For material changes, we may provide additional notice through the platform or by email.
If you do not agree to updated Terms, you should discontinue use of SYNC.
Continued use after updated Terms become effective constitutes acceptance where permitted by applicable law.
